Training terms & conditions.

The terms that apply to SOMA open-enrolment courses. Short, plain-English, and accepted at the point of booking.

1. Definitions

In these Terms and Conditions, “SOMA” or “we” means SOMA Project Controls Ltd (registered in England and Wales, Companies House number 16001237, registered office 13T, Queensway House, Queensway, Middlesbrough, TS3 8TF). “Course” means any training course provided by SOMA for which these terms form the contractual basis. “Learner” or “you” means the individual enrolled on a Course. “Booker” means the organisation or individual responsible for payment, where different from the Learner.

2. Booking and payment

  • Course bookings are made via the SOMA training page, by email to hello@somaprojectcontrols.com, or through a procurement channel agreed in writing.
  • A booking becomes binding once SOMA issues a booking confirmation email. The confirmation sets out the Course name, cohort dates, fee, and Learner details.
  • Standard payment terms are 30 days from invoice date. Invoices are issued on booking confirmation. Payment is by BACS or bank transfer to the account shown on the invoice. VAT at the prevailing UK rate is added to the stated fee.
  • Access to pre-course materials and the live sessions is conditional on receipt of cleared payment before the Course start date, unless an alternative payment arrangement has been agreed in writing.

3. Cancellation and rescheduling by the Learner

  • Cancellation more than 28 days before the Course start date: a full refund is provided, less any third-party fees already incurred (for example, software licences purchased on the Learner’s behalf).
  • Cancellation between 14 and 28 days before the Course start date: a 50% refund is provided, or the full fee may be held as credit against a future SOMA course within 12 months.
  • Cancellation less than 14 days before the Course start date: no refund is provided. A replacement Learner may be nominated at no additional cost, subject to SOMA confirming prerequisites are met.
  • A one-time reschedule to a subsequent cohort may be requested up to 7 days before the Course start date at no additional cost, subject to places being available.

4. Cancellation or rescheduling by SOMA

  • SOMA reserves the right to cancel or reschedule a Course where circumstances outside reasonable control prevent delivery, including instructor illness, insufficient cohort enrolment, or technology failure.
  • Where SOMA cancels a Course, Learners are offered the choice of: (a) a full refund of the Course fee, or (b) a transfer to the next available cohort at no additional cost.
  • SOMA’s liability for cancellation by SOMA is limited to the Course fee paid. SOMA is not liable for incidental costs such as travel, accommodation, or time lost.

5. Attendance, catch-up and completion

  • The Learner is expected to attend every scheduled live session. Attendance is recorded automatically by the Teams or Zoom join-and-leave logs.
  • Where an unavoidable absence prevents attendance of a live session, the Learner may catch up via the session recording within 72 hours. Catch-up via recording is recognised as attendance for certificate purposes.
  • A minimum of 80% attendance of live sessions (or documented catch-up within 72 hours) is required to qualify for the CPD-accredited certificate.
  • Learners who attend but do not meet the attendance minimum or the assessment pass marks are issued a record of attendance only, not a CPD certificate.

6. Assessment and certificate issuance

  • Each Course includes an end-of-course knowledge check and a reflective-practice task. The three flagship courses additionally include between-session structured exercises returned for instructor review.
  • A 70% pass mark applies to the end-of-course knowledge check. Learners who do not pass at the first attempt may retake the knowledge check once, free of charge, within 30 days of the Course end date.
  • On successful completion — defined as satisfying all attendance and assessment criteria set out in these terms — the Learner is issued a digitally-signed PDF certificate of completion. The certificate states the Learner name, Course name, CPD hours earned, SOMA CPD Certification Service accreditation reference, dates of attendance, and the lead instructor’s signature.
  • Certificates are issued within 5 working days of the Learner satisfying all pass criteria.

7. Intellectual property

  • All Course materials — including handbooks, slide decks, exercise files, session recordings, quick-reference cards, and any accompanying PDFs — remain the intellectual property of SOMA Project Controls Ltd.
  • Learners are granted a personal, non-transferable, non-exclusive licence to use the Course materials for their own professional practice and continuing professional development.
  • Learners may not copy, redistribute, publish, or commercially exploit any Course material without SOMA’s prior written consent. Sharing session recordings or course handbooks outside the enrolled cohort is prohibited.
  • Nothing in these terms transfers ownership of any SOMA intellectual property or methodology to the Learner or Booker.

8. Refund policy — summary

Refund outcomes are as set out in sections 3 and 4 above. Where a refund is due, it is paid to the original payer via the original payment method within 14 days of the refund being confirmed.

9. Liability

  • SOMA delivers each Course with reasonable care and skill using practitioners with current UK project-controls delivery experience. Course content is intended to build the Learner’s technical capability; application of the content to any specific live programme remains the Learner’s professional responsibility.
  • To the fullest extent permitted by law, SOMA’s total liability to a Learner or Booker for any claim arising out of or in connection with a Course is limited to the Course fee paid in respect of that Learner.
  • Nothing in these terms excludes or limits liability for death or personal injury arising from SOMA’s negligence, for fraud, or for any other liability that cannot lawfully be excluded under English law.

10. Data protection

SOMA processes Learner personal data in accordance with the UK GDPR and the Data Protection Act 2018. SOMA is registered with the Information Commissioner’s Office under reference ZC124229. The full privacy notice is published at somaprojectcontrols.com/privacy.

11. Complaints

Concerns or complaints may be raised by email to hello@somaprojectcontrols.com. A complaint is acknowledged within 2 working days and resolved within 10 working days wherever possible. Where a Learner remains dissatisfied with SOMA’s resolution, the matter may be escalated to The CPD Certification Service as the accrediting body.

12. Governing law and jurisdiction

These terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these terms is subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to these terms

SOMA may update these Terms and Conditions from time to time. The version applying to any booking is the version in force at the point of booking confirmation. Subsequent updates do not affect bookings already confirmed.
